In response to the legal challenge, Paramount has entered into an agreement with the prosecuting attorneys general to defer the finalization of the merger. This agreement stipulates that the acquisition cannot be completed until five days after the conclusion of the antitrust trial. Should a trial not take place by June 1, 2027, Paramount will then be permitted to resume its efforts to acquire Warner Bros. Discovery, signaling a potentially lengthy delay for the corporate giants.
A Costly Delay for Paramount
Despite the setback, Paramount has publicly framed this postponement in a positive light, describing it as a direct route to a trial based on factual evidence. However, this delay carries significant financial implications. If the deal is not finalized by September 30, Paramount will be liable to pay Warner Bros. Discovery investors a daily 'ticking fee' of $7 million. This clause significantly increases the cost of the acquisition, which includes the extensive assets of WB Pictures and Games, CNN, HBO, and DC Comics.

New York Attorney General Letitia James has lauded the halt in the merger as a crucial triumph in the ongoing efforts to uphold legal standards and safeguard the film and television industries. Critics of the proposed merger have voiced strong opposition, citing worries about further consolidation within the United States' media sectors. They contend that such a merger would place an excessive amount of control over diverse media properties into the hands of a single entity, specifically highlighting the influence of the conservative Ellison family.

While the merger has been postponed, Paramount Skydance has not indicated a complete withdrawal from the deal. The company appears committed to the acquisition of Warner Bros.
